As capital markets evolve, so too does the composition of the shareholder base. From index funds and sovereign wealth funds to activist investors and retail shareholders, the variety of actors influencing corporate strategy has never been greater. This half-day conference, organised by the PhD in Legal Studies at Bocconi University with support from ECGI, examines how this diversity is reshaping corporate decision-making and challenging traditional governance models.

The event opens with a transatlantic roundtable discussion featuring distinguished voices from academia, the judiciary, and industry. Together, they will explore the changing role of shareholders in corporate governance systems across jurisdictions, with particular attention to recent legal developments and emerging tensions between accountability, efficiency, and long-term value creation.

The second part of the programme features a series of academic presentations that probe foundational and forward-looking questions in corporate law. Topics include institutional theory, informal governance mechanisms, the limits of shareholder democracy, and the legal implications of market power in labour and capital markets.

This forum offers an opportunity to take stock of the shifting dynamics between shareholders and corporations—and to consider how legal frameworks might adapt to better reflect the realities of modern corporate ownership.
