Overview

The Dominican Republic’s corporate governance framework is based primarily on company legislation, securities-market regulation and sector-specific financial regulation. The principal company-law framework establishes the legal structure for commercial companies and individual limited-liability enterprises and provides the basic rules governing shareholders, corporate administration, management, supervision, financial reporting and corporate restructuring.

The company-law framework recognises several forms of business organisation, including sociedades anónimas, sociedades anónimas simplificadas, sociedades de responsabilidad limitada, partnerships and individual limited-liability enterprises. It establishes requirements concerning incorporation, capital, shareholders’ meetings, administration, representation, directors’ responsibilities, related-party transactions, dissolution and liquidation.

Several key elements shape corporate governance in the Dominican Republic:

  • Shareholders exercise their principal rights through general meetings, including approval of financial statements, appointment and removal of directors where applicable, amendments to corporate documents and other matters reserved to shareholders by law or the company’s governing documents.
  • Boards of directors and other management bodies are responsible for directing and administering the company within the powers established by law and its statutes.

The securities-market framework is supervised by the Superintendencia del Mercado de Valores (SIMV), an autonomous public institution responsible for regulating, supervising and monitoring the Dominican securities market. The framework seeks to promote an orderly, efficient and transparent market, protect investors, mitigate systemic risk and ensure that market participants provide accurate, sufficient and timely information.

Specific corporate governance requirements apply to participants registered in the securities market. Their governance arrangements must address the responsibilities of the board and senior management, delegation of authority, accountability, separation of functions, internal controls and risk management. The board is responsible for matters including corporate strategy, risk policies, major investments and transactions, executive appointments and remuneration, governance practices and potential conflicts of interest.

Transparency is an important component of the securities-market governance framework. Regulated participants are required to disclose information concerning financial and operating results, remuneration policies, related-party transactions, foreseeable risks and their corporate governance policies. The board must also approve and publish an annual corporate governance report in accordance with the requirements established by the securities-market regulator.

Financial institutions operate under an additional layer of governance regulation. The Banco Central de la República Dominicana and the Junta Monetaria establish and supervise requirements applicable to financial intermediation entities, including governance structures, board responsibilities, independent directors, board committees, internal controls and comprehensive risk management. Banks and other regulated financial institutions therefore remain subject to governance requirements that supplement the general company-law framework.

Overall, the Dominican Republic does not rely on a single economy-wide corporate governance code applicable to every company. Corporate governance is principally established through the general company-law regime, supplemented by specific securities-market requirements and additional prudential governance rules for financial institutions. Together, these frameworks establish the principal requirements concerning shareholder rights, board accountability, management responsibilities, transparency, internal control, risk management and corporate reporting.
