Mrs Gabriella Porcelli
Biography
I am a dual citizen ( Italian and Swiss) and was born in Italy, where I still live when I dont' travel for business. I have over 30 years of experience as a fully qualified corporate lawyer, both in private practice and inhouse as General Counsel and Chief Legal & Compliance Officer and Board Secretary, with a special focus on Corporate Governance, as well as on Compliance, Intellectual Property, Antitrust, and corporate crimes. I graduated cum laude in Law from La Sapienza University in Rome, Italy, and was admitted to the Bar in 1991. I have completed several management and academic programs, including at INSEAD (MBA and the IDP certification in Corporate Governance). I am married to a lawyer and have 2 children aged 23 and 20 and am a frequent lecturer in corporate law, corporate governance and commercial law in Italy and abroad with in-house counsel international associations (like ECLA and ACC) and a member of WCD-Women Corporate Directors ( Italy and Switzerland Chapters). I am also a non-executive director with more than 12 years of experience, mainly in Italian listed companies: my key controbution to a board in terms of competence are incentive plans and remuneration (objectives setting and performance assessment, also as far as ESG measurable metrics are concerned), board reviews and nominations as key processes for board effectiveness, succession plans (both for CEO and management and not only as emergency plans), ERM-integrated compliance, audit and M&A expertise. I am passionate about sports and about neurosciences' relevance for risk assessment and legal communication effectiveness in complex organizations. I promote and apply a behavioural approach to Compliance.
